Applifare Technologies Source Code License Agreement

Licensor: Applifare Technologies Pvt. Ltd. ("Licensor")
Licensee: [User or Entity Accessing the Source Code]

1. Introduction

This Source Code License Agreement ("Agreement") governs the terms under which the source code for applications developed and sold by Applifare Technologies ("Source Code") is provided by the Licensor to the Licensee. By accessing or using the Source Code, the Licensee agrees to comply with the terms and conditions set forth herein.

2. Grant of License

The Licensor can grant the Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the Source Code solely for internal purposes on paid basis. This license is subject to the restrictions outlined in Section 4. In order to use the Source Code solely for internal purposes on paid basis, please send a request to help@applifare.com.

3. Ownership

The Source Code and all related intellectual property rights are and shall remain the sole property of the Licensor. This Agreement does not transfer ownership of the Source Code to the Licensee.

4. Restrictions

The Licensee agrees to the following restrictions:
a. No Redistribution: The Source Code may not be distributed, sublicensed, or sold to any third party.
b. No Competing Products: The Source Code may not be used to create competing software products.
c. No Reverse Engineering: The Licensee shall not reverse engineer, decompile, or disassemble the Source Code.
d. No Unauthorized Use: The Source Code may only be used for the purposes expressly permitted under this Agreement.

5. Warranty Disclaimer

The Source Code is provided "as-is" without any warranty of any kind, express or implied. The Licensor disclaims all warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

The Licensor shall not be liable for any damages, including direct, indirect, incidental, special, or consequential damages, arising out of or related to the use of the Source Code, even if the Licensor has been advised of the possibility of such damages.

7. Termination

This Agreement may be terminated by the Licensor at any time if the Licensee violates any term of this Agreement. Upon termination, the Licensee must immediately cease all use of the Source Code and delete all copies in their possession.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

9. Miscellaneous

a. Amendments: This Agreement may only be amended in writing and must be signed by both parties.
b. Assignment: The Licensee may not assign or transfer this Agreement or any rights under it without the prior written consent of the Licensor.

By accessing or using the Source Code, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
